The Housing Partnership Development Corporation (“HPDC”) is seeking an experienced attorney as its full-time general counsel.

Background: The Housing Partnership serves as New York City’s primary nonprofit intermediary for the development and preservation of affordable workforce housing, assisting in the development, promotion, and revitalization of affordable rental housing and homeownership through an array of specialized programs and services. For almost four decades, the Housing Partnership has been the facilitator of dynamic partnerships between the City, State, and private sectors to build affordable homes which stimulate economic growth and revitalize neighborhoods throughout New York City’s five boroughs, New York State, and New Jersey.

Responsibilities: HPDC’s General Counsel reports to the executive director and provides legal advice to HPDC and its affiliates, and to HPDC’s board of directors, management team and staff. While most of the General Counsel’s time is spent closing affordable housing transactions, the General Counsel will also be responsible for fulfilling certain other duties with respect to ongoing compliance and supervision. Specific duties include:

  • Representing HPDC in all aspects of project acquisition, construction, financing, and operations, closing over 20 transactions annually in partnership with for-profit developers and government agencies.
  • Drafting, reviewing and negotiating real estate, loan documents and other legal documents for affordable housing transactions.
  • Staying abreast of tenant selection procedures and marketing and lease-up requirements, drafting agreements with owners, and handling disputes and appeals, in connection with the HPDC’s role as administering agent and monitor.
  • Coordinating with outside counsel and insurance carriers on litigation matters, landlord/tenant proceedings, and administrative violations.
  • Overseeing HPDC’s legal and compliance departments and cultivating strategic mid- to long-term business growth.
  • Serving as corporate counsel to over 200 affiliated entities by ensuring compliance with state and federal not-for-profit laws, conferring with outside auditors on tax matters, and applying for federal 501(c)(3) tax-exempt status.
  • Conducting due diligence, meeting reporting obligations, closing pre-development loans, and pursuing collections of delinquent loans on behalf of an affiliated community development financial institution.

Qualifications: Applicants must have a juris doctor degree, be licensed to practice law in New York, and ideally will have at least 5 years of directly relevant legal experience.  Expertise in affordable housing and real estate law is strongly preferred.
